For purposes of these Terms, CARE Direct Marketing Pty Ltd (ABN 98 112315572) shall be referred to as “CARE Direct Marketing”.
“Licensed Agency” means Charles Alexander Real Estate, the licensed entity responsible for real estate transactions arising from referrals. “Compensation Plan” means the CARE Direct Marketing Compensation & Commission Plan. “Policies and Procedures” means the CARE Direct Marketing Policies & Procedures Manual.

1. I, the undersigned Applicant (“Independent Referral Partner” or “IRP”), affirm that I am at least 18 years of age, hold or will obtain an Australian Business Number (ABN), am a resident of Australia, and am not bankrupt or insolvent. I confirm I have provided valid contact and banking details for commission payments.

2. I understand that success as an IRP is not guaranteed and depends entirely on my individual efforts and market conditions. I am an independent contractor, not an employee or agent of CARE Direct Marketing or the Licensed Agency. No prospect of employment has been presented to me.

3. I agree to pay the following fees: (a) Sign Up Fee of $199 upon registration; (b) Referral Partner Platform Fee of $22 per month; and (c) Annual Renewal Fee of $55, to maintain active IRP status. Fees are non refundable after the initial ten (10) business days from this Agreement date.

4. CARE Direct Marketing authorises me to introduce property sellers, buyers, and landlords to the Licensed Agency in accordance with approved referral procedures. All appraisals, listings, and transactions are conducted exclusively by the Licensed Agency under its real estate licence.

5. I acknowledge that all commissions payable to me are contingent upon successful property settlements or commencement of management authorities, and are calculated in accordance with the Compensation Plan. Payments are issued within 14 days of cleared funds received by the Licensed Agency.

6. I understand that my role is limited to generating and referring qualified leads. I must not represent myself as a licensed real estate agent, conduct appraisals, or provide financial or legal advice. Any representation of agency authority without licence is prohibited.

7. I agree to conduct business ethically, in compliance with the Direct Selling Australia Code of Conduct, Australian Consumer Law (ACL), Privacy Act 1988 (Cth), Spam Act 2003 (Cth), and all relevant legislation. I must not make false or misleading claims regarding income or property outcomes.

8. CARE Direct Marketing and the Licensed Agency reserve all intellectual property rights to their names, trade marks, logos, and marketing materials. I may use such materials solely for approved promotional purposes and must not modify or reproduce them without written consent.

9. CARE Direct Marketing may suspend or terminate this Agreement for breach of these Terms, misconduct, or non payment of fees. During suspension, commissions may be withheld pending review. Termination immediately revokes all referral rights and access to the Partner Portal.

10. I acknowledge that no representation of guaranteed income has been made to me. My income is derived solely from commissions earned on successful real estate referrals and may vary significantly based on effort and performance.

11. I agree to maintain confidentiality over all information obtained through CARE Direct Marketing and the Licensed Agency, including client data and referral hierarchies. Such information remains the property of CARE Direct Marketing and must be returned or deleted upon termination.

12. I am responsible for my own taxes and insurance obligations. CARE Direct Marketing may issue recipient created tax invoices (RCTIs) for GST registered IRPs in accordance with the A New Tax System (Goods and Services Tax) Act 1999 (Cth).

13. CARE Direct Marketing shall not be liable for indirect or consequential losses. To the maximum extent permitted by law, total liability is limited to the amount of fees paid by me in the 12 months preceding any claim.

14. This Agreement may be terminated by either party upon 14 days’ written notice. If I terminate within ten (10) business days of acceptance, the Sign Up Fee and first month Platform Fee shall be refunded in full.

15. All disputes arising out of or relating to this Agreement shall be referred to the Australian Disputes Centre (ADC) or arbitration in Sydney, Australia. Both parties agree to be bound by the arbitrator’s decision.

16. I must not, during or for six (6) months following this Agreement, solicit or divert any clients introduced through CARE Direct Marketing or the Licensed Agency, nor recruit existing IRPs to competing real estate or referral marketing entities.

17. CARE Direct Marketing reserves the right to modify this Agreement, the Compensation Plan, or the Policies and Procedures with 30 days’ notice via email or posting to the official Partner Portal. Continued participation constitutes acceptance of modifications.

18. Any notices under this Agreement may be sent by email to the address registered in the Partner Portal and shall be deemed received two (2) business days after dispatch.

19. This Agreement, including all documents incorporated by reference, constitutes the entire agreement between the parties and supersedes all prior representations or understandings. If any clause is invalid, the remaining clauses remain enforceable.

20. This Agreement is governed by the laws of Western Australia and applicable Commonwealth legislation. Any legal proceedings, where arbitration does not apply, shall be brought before the courts of Western Australia.
